Contents
1. Acceptance of Terms
By accessing or using Akievo's project management platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
You must be at least 16 years of age to use this Service. By using the Service, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into this agreement.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
2. Description of Service
Akievo is a cloud-based project management platform that enables users to create workspaces, organize projects into boards, manage tasks with cards, collaborate with team members, and integrate with third-party services via APIs, webhooks, and AI platforms such as ChatGPT.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.
The Service may include AI-powered features that assist with task management and board creation. These features are provided "as is" and may produce varying results.
2.1 AI-Generated Plans and Content
The Service includes AI-powered features that can generate project plans, boards, task suggestions, and other recommendations based on goals or prompts you provide ("AI-Generated Content"). You acknowledge and agree that:
- AI-Generated Content is provided for informational and organizational purposes only and does not constitute professional, legal, medical, financial, or any other form of expert advice
- AI systems can and do make mistakes — AI-Generated Content may be inaccurate, incomplete, misleading, or unsuitable for your particular situation
- You are solely responsible for evaluating, verifying, and deciding whether to act on any AI-Generated Content
- Akievo is not responsible for any outcomes, losses, damages, or consequences resulting from your reliance on or use of AI-Generated Content
- AI-Generated Content should not be used as a substitute for your own independent judgment, research, or professional consultation
You use AI-Generated Content entirely at your own risk. Akievo makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any AI-Generated Content for any purpose.
3. AI Platform Integrations
3.1 Third-Party AI Platform Access
Akievo offers integrations with third-party AI platforms, including OpenAI's ChatGPT, that allow you to interact with your boards using natural language. These integrations enable you to create tasks, update cards, and manage your projects through conversational interfaces provided by third-party platforms.
3.2 Authorization and Access
To use the ChatGPT integration, you must explicitly authorize the connection through an OAuth authentication flow. This grants ChatGPT permission to access your Akievo boards on your behalf. You may revoke this authorization at any time through your Akievo account settings (API Keys section) or through ChatGPT's connected apps settings.
3.3 Data Transmission to Third Parties
When you use the ChatGPT integration:
- Your queries and commands are transmitted to OpenAI's servers for processing
- Board data (including board names, list names, card titles, descriptions, and other content) may be sent to OpenAI to process your requests
- OpenAI processes this data according to their own terms and privacy policy
By using this integration, you acknowledge that data transmitted to OpenAI is subject to OpenAI's Terms of Use and Privacy Policy. We encourage you to review these policies before using the integration.
3.4 Content Restrictions for AI Integrations
You agree not to use AI platform integrations to transmit:
- Protected health information (PHI) as defined under HIPAA or similar healthcare privacy regulations
- Payment card data or other PCI DSS-regulated information
- Personal information of children under 13 years of age (or the applicable age of digital consent in your jurisdiction)
- Any content that would violate OpenAI's Usage Policies or applicable law
3.5 Third-Party Terms Compliance
Your use of the ChatGPT integration is subject to OpenAI's terms and policies in addition to these Terms. Violation of OpenAI's Usage Policies may result in OpenAI suspending or terminating your access to the integration, for which Akievo bears no responsibility.
3.6 Limitation of Liability for AI Responses
AI-generated responses through third-party platforms are provided for convenience and may contain errors, inaccuracies, or misinterpretations. Akievo is not responsible for:
- Inaccuracies, errors, or omissions in AI-generated suggestions or responses
- Actions you take based on AI interpretations or recommendations
- Service interruptions, outages, or changes made by third-party AI providers
- Any modifications to your boards made through AI platform integrations at your instruction
- Data processing by third-party AI platforms once transmitted from Akievo
You acknowledge that AI platforms operate independently from Akievo and that we have no control over their availability, accuracy, or data handling practices.
4. Account Terms
4.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4.2 Account Restrictions
You may not:
- Create multiple accounts for the same user
- Share your account credentials with others
- Transfer your account to another person without our consent
- Use another person's account without permission
4.3 Account Suspension
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk, at our sole discretion.
5. Subscription & Payment
5.1 Merchant of Record
All payments for the Service are processed through Paddle.com Market Limited ("Paddle"), who acts as our Merchant of Record. This means that when you purchase a subscription, you are purchasing from Paddle, while Akievo licenses the Service to you. Paddle handles all payment processing, invoicing, sales tax/VAT collection, and subscription management on our behalf.
By making a purchase, you also agree to Paddle's Buyer Terms and Privacy Policy.
5.2 Pricing
Subscription fees are displayed on our pricing page and may vary based on the plan selected. All prices are in the currency specified and are subject to change with 30 days' notice.
5.3 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on your selection. All billing is handled by Paddle, who will charge your selected payment method and issue invoices directly to you. You will receive invoices and payment receipts from Paddle, not from Akievo.
5.4 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Paddle will charge your payment method on file for the renewal amount.
5.5 Taxes
As the Merchant of Record, Paddle is responsible for calculating, collecting, and remitting all applicable sales taxes, VAT, GST, and other transaction taxes based on your location. The prices displayed at checkout will include all applicable taxes.
5.6 Subscription Cancellation
You may cancel your subscription at any time through your Paddle customer portal or by contacting Paddle's support team. To avoid being charged for the next billing period, cancellations must be submitted at least 48 hours before your renewal date. Upon cancellation, you will retain access to paid features until the end of your current billing period.
5.7 Failed Payments
If Paddle is unable to process your payment, they may retry the charge and/or suspend your access to paid features until successful payment is received. Paddle will notify you of any payment issues.
6. Referral Program
Akievo offers a referral program that allows you to earn credits by referring new users. Please read this section carefully to understand how the program works and your obligations.
6.1 Program Overview
Akievo provides a referral program where users can share a unique referral code or link with others. When a new user subscribes to a paid plan using your referral code, both you (the referrer) and the new subscriber (the invitee) may receive benefits as described below.
All users with a verified email address are automatically enrolled in the referral program and receive a unique referral code. By participating in the program, you agree to abide by the terms set forth in this section.
6.2 How the Program Works
To participate in the referral program:
- Share your unique referral code or link with potential new users
- When a new user signs up and subscribes using your referral code, they receive a discount on their subscription
- You earn a commission based on the referred user's subscription payments
- Commissions are tracked for a limited number of billing cycles (the "Commission Period")
The specific discount and commission percentages, as well as the Commission Period, are displayed in your account settings and may vary based on promotional offers or custom arrangements.
6.3 Commission Structure
Commission rates and invitee discounts may vary based on the referral code used. Akievo reserves the right to:
- Set and modify default commission and discount percentages at any time
- Offer custom rates to specific participants or for promotional campaigns
- Limit the number of billing cycles for which commissions are earned per referred subscriber
The current rates applicable to your referral code are displayed in your account dashboard. Any changes to commission structures will apply to future referrals only and will not affect commissions already earned or pending.
6.4 Standard Affiliates (Bill Credits)
By default, all program participants are classified as "Standard Affiliates." As a Standard Affiliate:
- Commissions are applied as bill credits toward your Akievo subscription
- Bill credits have no cash value and cannot be withdrawn, redeemed for cash, or transferred to another user
- Credits are applied to reduce your next subscription payment
- Credits are capped at your current subscription price per billing cycle—any excess balance beyond your subscription amount will be forfeited
- Credits cannot accumulate indefinitely; they must be used toward active subscription payments
If you cancel your subscription, any remaining bill credits will be forfeited and cannot be recovered.
6.5 Cash Affiliates (By Application)
In select cases, Akievo may approve participants as "Cash Affiliates" who are eligible for monetary payouts instead of bill credits. Cash Affiliate status is:
- Available by application only—to apply, email support@akievo.com
- Subject to Akievo's sole discretion to approve or deny
- Subject to additional terms, including tax documentation requirements and minimum payout thresholds
- Subject to applicable laws and regulations in your jurisdiction
Akievo reserves the right to revoke Cash Affiliate status at any time for any reason, including but not limited to violations of these Terms or fraudulent activity.
6.6 Settlement and Clawbacks
To protect against fraud and payment reversals:
- Commissions remain in a "pending" status for 30 days before becoming available for use
- If a referred user cancels their subscription, requests a refund, or initiates a chargeback during or after the pending period, your commission may be clawed back proportionally
- Clawbacks are calculated based on the refund ratio (e.g., if 50% of a payment is refunded, 50% of the related commission is clawed back)
- Clawbacks are deducted first from pending balances, then from available balances if necessary
6.7 Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Self-referral: Using your own referral code on your own purchases or subscriptions will not earn you any commission
- Fake accounts: Creating fake or fraudulent accounts to generate referral commissions
- Misrepresentation: Making false or misleading claims about Akievo, the referral program, or the benefits offered
- Spam: Sending unsolicited bulk messages, spam, or using deceptive marketing tactics to promote your referral code
- Trademark abuse: Using Akievo's trademarks, logos, or brand assets without authorization
- Incentive manipulation: Offering cash-back, rebates, or other incentives that undermine the program's integrity
Violations of these prohibitions may result in immediate forfeiture of all earned credits, termination of your referral program participation, and/or termination of your Akievo account.
6.8 Program Changes and Termination
Akievo reserves the right to:
- Modify, suspend, or terminate the referral program at any time with or without notice
- Change commission rates, discount percentages, or program terms for future referrals
- Terminate your participation in the program for any violation of these Terms
- Audit referral activity and reverse commissions earned through fraudulent means
Changes to the program will not affect commissions already credited to your account prior to the change, except in cases of fraud or Terms violations.
6.9 No Employment or Partnership
Your participation in the referral program does not create an employment, agency, joint venture, or partnership relationship between you and Akievo. You are an independent participant and:
- You are solely responsible for any taxes, duties, or obligations arising from your participation and any commissions earned
- You have no authority to bind Akievo or make representations on our behalf
- Akievo is not responsible for any expenses you incur in promoting the Service or your referral code
- You are not entitled to any employee benefits, insurance, or other compensation from Akievo
6.10 Liability Limitations
Akievo's liability under the referral program is strictly limited:
- Our maximum liability is limited to the value of bill credits or commissions actually earned by you
- We are not liable for any technical issues, system errors, or delays that may affect credit calculation or application
- We are not liable for any indirect, incidental, or consequential damages arising from your participation in the program
- All credits and commissions are subject to the general limitations of liability set forth in Section 11 of these Terms
7. Refund Policy
Since Paddle acts as our Merchant of Record, all refunds are processed by Paddle in accordance with their Buyer Terms and applicable consumer protection laws.
7.1 Cooling-Off Period (EU/UK Consumers)
If you are a consumer in the European Union or United Kingdom, you have the right to cancel your subscription within 14 days of purchase without giving any reason, in accordance with the Consumer Rights Directive and Consumer Contracts Regulations.
To exercise this right, you must submit your cancellation request through Paddle's customer support portal at paddle.net before the 14-day period expires. Paddle will process refunds within 14 days of receiving your cancellation notice.
Important: If you begin using the Service during the cooling-off period, you may be charged a proportionate amount for the service used up to the point of cancellation.
7.2 Material Service Failure
If the Service materially fails to perform as described and we are unable to resolve the issue within a reasonable time, you may be entitled to a pro-rata refund for the unused portion of your subscription. Please contact Akievo at support@akievo.com to report service issues, and we will work with Paddle to process any applicable refunds.
7.3 Standard Cancellation
After the 14-day cooling-off period (where applicable), cancellation will take effect at the end of your current billing period. No refund will be provided for partial months or unused time remaining in your billing period.
7.4 AI Credits
AI credits included with your subscription or purchased separately are non-refundable once used. Unused credits may expire at the end of your billing period and do not carry over unless specified in your plan.
7.5 How to Request a Refund
Since Paddle is the seller of record, all refund requests should be directed to Paddle:
- Visit paddle.net to access Paddle's customer support portal
- Use the receipt or invoice email from Paddle to locate your transaction
- Submit your refund request through Paddle's support system
Paddle, as the seller, will make the final determination on refund requests in accordance with their policies and applicable consumer protection laws. For service-related issues that may support your refund request, please also contact us at support@akievo.com.
